INTRODUCTION
Clutterbuck Coaching and Mentoring International (trading as CMI) provides a website and membership service that allows our members to access coaching, mentoring, talent management and leadership training courses and resources (“CMI content”) via it’s website for your personal information and education. It has been created for HR Professionals, trainers and programme managers and participants of coaching or mentoring schemes (whether Individually subscribed or through a Corporate membership) to provide training and guidance on best practice and self development.
These Terms of Use govern your use of our service.
“CMI service“, “our service” or “the service” means the service provided by CMI for accessing CMI content, including all features and functionalities, the website, and user interfaces, as well as all content and software associated with our service.
CMI, our content means any text, files, images, photos, graphics, video, or any other materials that we publish or post on or through our services.
CMI, us, our, we means CMI, registered in England and Wales, registration number 08158710 and our registered office is at Woodlands, Tollgate, Maidenhead, Berks, United Kingdom, SL6 4LJ;
You, your means an Individual accessing the website or registering for Membership (Member) – whether Individually or as part of a Corporate Membership.

PART 1 – WEBSITE TERMS OF USE
- Introduction
By using these services either as a visitor or as a member you agree to be bound by any applicable and additional terms as well as:

- Membership Terms, which sets out the terms that apply to your membership with us;
- Privacy Policy, which sets out the terms on which we process any personal data we collect from you, or that you provide to us and information about how your use of our services is monitored so that we are able to improve your user experience. By using our services, you consent to such processing and you warrant that all data provided by you is accurate;
- Accessing our services
Parts of our services are only accessible to our members and not to visitors. Members are required to register and use a username (your email address) and password to access members resources.
If you are required to register with us to access some or all of our content, you agree that you will keep your user name and/or password confidential and will not share this information with any third party as doing so will contravene these terms. You also agree that you will not register multiple email addresses.
We offer two types of registration – Individual and Corporate. Individuals can register and pay for Membership online for instant access. Corporate users will be sent specific registration details to follow upon receipt of payment from the Corporation.
- Our content and Intellectual Property
We grant our users a licence to access and use our services and intellectual property rights (subject to your ability to access our services as set out in these terms) and to the following usage restrictions:
The CMI service and any content viewed through the service are for your personal, private and non-commercial use only and may not be shared with others unless explicitly stated. During your CMI membership we grant you a limited, non-exclusive, non-transferable right to access the CMI service and view CMI content. Except for the foregoing, no right, title or interest shall be transferred to you. You must not commercially exploit, or sell any content appearing on our services.
You agree not to archive, reproduce, distribute, modify, display, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorised in these Terms of Use) content and information contained on or obtained from or through the CMI service.
You also agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the CMI service; use any robot, spider, scraper or other automated means to access the CMI service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the CMI service; insert any code or product or manipulate the content of the CMI service in any way; or use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the CMI service, including any software viruses or any other computer code, files or programs.
Our content, trademarks, copyright, patents, logos, domain names and other related intellectual property rights or other features of our brand belong to us or to our licensors. Your use of our services does not grant you any rights in and/or our licensor’s intellectual property whether for commercial or non-commercial use.
We may terminate or restrict your use of our service if you violate these Terms of Use or are engaged in illegal or fraudulent use of the service.
- Disclaimer
We will always aim to provide you with the best service we can, but our service is provided “as is” and we do not and cannot promise that all of the information provided in our services will always be 100% accurate. All our services are provided without any warranties or guarantees.
Whilst we will do our best to ensure that our service is fully operational at all times, we are not responsible for and shall not be liable to you for any problems or temporary interruptions in using our services arising from factors outside of our control (e.g. technical problems from traffic congestion on the internet).
- Limitation of our liability to you
To the extent permissible by law, we are not responsible for any loss or damage resulting from use of our services or from any content posted on or through our services.
You agree, that to the extent permissible by law, your sole and only remedy for any problems, issues or concerns with our service is to stop using our services, whether as a member or as a visitor using one of our services.
PART 2 – MEMBERSHIP TERMS
Welcome to our membership terms. Please read these terms carefully as they will set out the terms for your membership with us. Unless otherwise stated, any reference to a member or a membership shall include reference to all our members.
- How do I become a Member
You must be aged 18 or older and have the legal power to enter into a contract with us and are not prevented from doing so under any local laws.
By registering to become a member, you agree that you have given us accurate registration details, and will ensure that we always have up to date contact information.
- Membership Types Individual membership belongs to the individual (acting as a consumer, outside of their course of business such as an HR Professional or to a Professional Coach or Mentor) and not to an organisation, regardless of who pays for the membership. Corporate membership is intended for direct employees of the named member company – usually large organisations. Corporate membership is restricted to the registered email domain for the Corporate account company. If you access one of our products under a corporate membership, these terms of use and membership terms will apply to your membership as far as they are relevant. The duration of your membership is determined by the corporate membership holder.
- Passwords and Account Access. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We can terminate your account or place your account on hold in order to protect you, CMI or our partners from identity theft or other fraudulent activity. CMI reserves the right to withdraw or suspend Membership or to prevent any member from renewing membership if, in CMI’s reasonable opinion the member is misusing the membership (for example, allowing someone else to use the benefits of their membership package or breaching our intellectual property rights).
- Free Trials Your CMI membership may start with a free trial. The duration of the free trial period of your membership will be specified during sign-up and is intended to allow new members and existing CMI corporate customers to try the service. Free trial eligibility is determined by CMI at its sole discretion and we may limit eligibility or duration to prevent free trial abuse. We reserve the right to revoke the free trial and put your account on hold in the event that we determine that you are not eligible. Members with an existing or recent CMI membership are not eligible. We may use information such as device ID, IP address or account email address used with an existing or recent CMI membership to determine eligibility. During the Free Trial period, you will have complete and full access to CMI content available on the website.
At the end of your Free Trial, you may continue your membership to the Service by purchasing an annual membership. Individuals can purchase online using our payment provider (Stripe) and by doing so, you agree that access will start immediately. Corporate users can purchase group access to the Services by using the Contact Us form to request an invoice and access will be granted upon the receipt of funds.
To view the membership details including Free Trial expiry date (or membership expiry date), membership type (Corporate or Individual), membership pricing and to purchase a membership, please sign into the website and click the “Manage Account” link.
- Membership
Your CMI membership will be valid for 12 months (one calendar year) from purchase completion. Continued membership is subject to you signing into the website and completing a payment for membership renewal. Payment can be made using all major credit or debit cards. Where relevant, currency conversion values may fluctuate and conversion fees may be charged by your bank.
If you do not renew your membership, access to CMI content on the website will be restricted.
We may offer a number of membership plans, including special promotional plans or memberships that provide different content and services. Some membership plans may have differing conditions and limitations, which will be disclosed at your sign-up or in other communications made available to you. You can find specific details regarding your CMI membership by visiting our website and clicking on the “My Account” link available at the top of the pages of the CMI website.
We may change our membership plans and the price of our service from time to time; however, any price changes or changes to your membership plans will apply to subsequent renewal cycles following notice of the change(s) to you.
You can delete your membership and your details held by us at any time by visiting our website and clicking on the “Manage Account” to find the ‘Delete Account’ function under the Subscription tab.
We will send you service related information relating to your account (e.g. payment reminders, changes in password or Payment Method, confirmation messages, notices) by email to the email address provided during registration. If you have also opted to receive them, you will receive occasional updates from us with Newsletters or training course updates. You can choose to unsubscribe to our Newsletters or training course updates by selecting the ‘Unsubscribe’ link in our emails.

Individual Members can cancel at any time by writing to us using the contact us form. If you cancel within 15 days of the start of your paid for membership, we will refund any payments received from you. You will not be entitled to a refund of your payment if you cancel after the first 15 days of the start of your paid for membership.
PART 3 – TRAINING COURSE TERMS
By completing a training course booking form (or requesting a place) and making payment, you accept to be bound by these Training Course Terms.
- Introduction
We offer and promote a number of training courses (both virtual and in person) that are open to individuals or corporations to secure places for a participant. These courses may be sold and or delivered by CMI, its sister company (David Clutterbuck Partnership – registered office addresses of Woodlands, Tollgate, Maidenhead, Berkshire, UK, SL6 4LJ), our global Network Partners and other relevant 3rd party training providers.
- Bookings and Payments
You may secure a space on a particular training course by completing the booking process and making a payment – for courses sold by CMI, we charge an initial 10% by card payment to secure your space. You will be contacted separately by email with payment details (card or bank transfers accepted) for the remaining balance which is due within 2 weeks of the programme start date or the programme start date (whichever is sooner).
For corporate bookings, we also offer payment via invoice. Please contact us to arrange this.
- Accreditation
Where applicable, training courses may have an associated professional accreditation from the major training bodies (EMCC or ICF) which will be awarded to those that complete the course (which includes attendance, practice with clients, reading and an assignment).
Some training courses have minimum levels of experience or training required to be able to access the course. Please ensure you meet those conditions (as defined on the training course webpages) as failure to do so may prevent you from obtaining the course level accreditation.
As is best practice and advised by EMCC Global, to avoid deliberate abuse or confusion, we only issue certificates of Graduation and not for merely attending a training course. If you require proof of attendance, please contact us and we can confirm this in writing.
Where a training course is accredited to EMCC Global, you acknowledge that CMI is required (upon successfully graduating from the course) to pass certain data about you (name, email, phone number and country) to EMCC Global so that they can contact you with details of your Accreditation from EMCC Global. You may opt out of this process by writing to us prior to your submission of your assignment.
- Re-Arrangements & Cancellations
Should you need to cancel or re-arrange for any reason, all cancellations will incur an administration fee equal to the initial deposit paid. Unfortunately, we are unable to offer a refund or discount for any training sessions not attended, whether attendance was planned or not.
Whilst CMI will make all reasonable efforts to deliver the training courses as advertised, very occasionally it may be necessary for CMI to change the content and timing of a course, the trainer, the date or the venue. In the unlikely event of the course being cancelled or postponed by CMI, a full refund will be offered or the booking can be transferred to an alternative date or CMI programme.
For all training course bookings, the liability of CMI shall be limited to the amount of the fee actually paid to CMI by the participant.
PART 4 – GENERAL TERMS
We may amend these website terms of use at any time to ensure that we remain compliant with relevant laws and regulations and to ensure that we are constantly improving your experience in using our services, so please ensure that you check our website terms of use frequently.
We may, at our discretion change, remove, suspend or discontinue any aspect of our services at any time including the availability of any content. By continuing to use our services after any changes are made, you accept those changes and will be bound by them.
If any provision or provisions of these Terms of Use shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.
These website terms of use and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales and will be subject to the exclusive jurisdiction of the English courts.
